Governance Committee Meeting Minutes
December 15, 2015
A Governance Committee meeting of the Onondaga County Industrial Development Agency was
held on Tuesday, December 15, 2015 at the OnCenter Complex, 800 South State Street,
Syracuse, New York, meeting rooms |, 2 and 3.
Chairperson Patrick Hogan called the meeting to order at 7:47 am with the following:

APPROVAL OF GOVERNANCE COMMITTEE MEETING MINUTES — AUGUST 17, 2015
Upon a motion by Daniel Queri, seconded by Patrick Hogan, the OCIDA Board approved the
Governance Committee regular meeting minutes of August 17,2015. Motion was carried.

REVIEW OF COMMITTEE EVALUATIONS
Honora Spillane stated that all of the actions items today are part of OCDC’s responsibility under
the Public Authority’s Law and have to be reviewed annually. She stated that they will be in the
annual report.
Upon a motion by Daniel Queri, seconded by Patrick Hogan, the OCDC Governance Committee
approved a resolution to transmit the Committees’ summary evaluations without comment to the
Agency Board for review and acceptance. Motion was carried unanimously.

REVIEW OF BOARD AND STAFF EVALUATIONS
Upon a motion by Daniel Queri, seconded by Patrick Hogan, the OCDC Governance Committee
approved a resolution to transmit the summary evaluation of the Board and the Staff without
comment to the Agency Board for review and acceptance. Motion was carried unanimously.

REVIEW OF COMMITTEE CHARTERS
Upon a motion by Daniel Queri, seconded by Patrick Hogan, the OCDC Governance Committee
approved a resolution to transmit the Committee Charters without comment to the Agency Board
for review and acceptance. Motion was carried unanimously.

DRAFT ANNUAL REPORT (2015 FISCAL YEAR)
Honora Spillane stated that this summarizes the actions the Board has taken this year including
what has been done in this meeting today. She stated that it will be included in the annual report.
Upon a motion by Daniel Queri, seconded by Patrick Hogan, the OCDC Governance Committee
approved a resolution to transmit the Committee’s Annual Report without comment to the Board
for review and acceptance. Motion was carried unanimously.
Upon a motion by Daniel Queri, seconded by Patrick Hogan, the OCIDA Board adjourned the
meeting at 7:50 am. Motion was carried.
