Governance Committee Meeting Minutes
January 19, 2023
The Governance Committee meeting of the Onondaga County Industrial Development Agency
was held on Thursday, January 19, 2023 at 335 Montgomery Street, Syracuse, New York in the
large conference room on the first floor.
Kevin Ryan called the meeting to order at 8:38 am with the following:

APPROVAL OF GOVERNANCE COMMITTEE MEETING MINUTES — NOVEMBER 8, 2022
Upon a motion by Patrick Hogan, seconded by Fanny Villarreal, the OCIDA Board approved the
regular meeting minutes of November 8, 2022. Motion was carried.

UNIFORM TAX EXEMPTION POLICY
Upon a motion by Patrick Hogan, seconded by Fanny Villarreal, the OCIDA Governance
Committee approved a resolution to transmit the Uniform Tax Exemption Policy without
comment to the Agency Board for review and acceptance. Motion was carried.

PROCUREMENT POLICY
Upon a motion by Fanny Villarreal, seconded by Patrick Hogan, the OCIDA Governance
Committee approved a resolution to transmit the Procurement Policy without comment to the
Agency Board for review and acceptance. Motion was carried.

BYLAWS
Upon a motion by Fanny Villarreal, seconded by Patrick Hogan, the OCIDA Governance
Committee approved a resolution to transmit the By-Laws without comment to the Agency
Board for review and acceptance. Motion was carried.

STRUCTURE AND MAKE UP OF BOARD COMMTTEES
Upon a motion by Fanny Villarreal, seconded by Patrick Hogan, the OCIDA Governance
Committee approved a resolution to transmit the Structure and Make Up of Board Committees to
the Agency board for review and acceptance. Motion was carried.

PROPERTY ACQUISITION POLICY
Upon a motion Patrick Hogan, seconded by Fanny Villarreal, the OCIDA Governance Committee
approved a resolution to transmit the Property Acquisition Policy to the Board for review and
acceptance. Motion was carried.

ADJOURN
Upon a motion by Patrick Hogan, seconded by Fanny Villarreal, the OCIDA Board adjourned the
meeting at 8:40 am. Motion was carried.
