      Agency Action Requested:
       a. A vote of the Board appointing the Agency Counsel and Special Counsels for a 3 year
          term.
          1. Barclay Damon, LLP is appointed as Agency Counsel.

             Trespasz & Marquardt, LLP, and Hancock Estabrook, LLP are appointed as

     Agency Action Requested:
     a. A vote of the Board appointing the Agency Auditor and Special Auditor for a 3 year
        term.
          1. Grossman St. Amour is appointed as Agency Auditor.
          2. Bonadio & Co., LLP appointed as Agency Special Auditor.

An Organizational Meeting of the Onondaga County Industrial Development Agency was held
on Thursday, January 18, 2024, at 335 Montgomery Street, Floor 2M, Syracuse, New York.
Patrick Hogan called the meeting to order at 8:37 AM with the following in attendance:

APPROVAL OF ORGANIZATIONAL MEETING MINUTES – January 19, 2023
Upon motion by Susan Stanczyk, seconded by Janice Herzog, the OCIDA Board approved the
organizational meeting minutes from January 19, 2023. Motion was carried.

ACTION ITEMS
   1. Slate of Officers and Chairs for the 2024 Agency Fiscal Year – Patrick Hogan read the
      Agency Action Requested of “A resolution of the Board to approve the presented slate of
      officers for the 2024 Agency Fiscal Year.” Motion was made by Janice Herzog, seconded
      by Fanny Villarreal. Motion was carried.

   2. Appointment of Legal Contractors – Patrick Hogan read the Agency Action Requested of
      “A vote of the Board reappointing for one year: Barclay Damon, LLP is appointed its
      Agency Counsel, and Bond, Schoeneck & King, PLLC; Harris Beach, PLLC; Nixon
      Peabody, LLP; Trespasz & Marquardt, LLP, and Hancock Estabrook, LLC are appointed
      as Conflict Counsel.” A motion was made by Fanny Villarreal, seconded by Elizabeth
      Dreyfuss. Motion was carried.
   3. Appointment of Audit Contractors – Patrick Hogan read the Agency Action Requested of
      “A vote of the Board reappointing for one year: Grossman St. Amour is appointed as
      Auditor and Bonadio & Co., LLP appointed as Special Auditor.” A motion was made by
      Fanny Villarreal, seconded by Janice Herzog. Motion was carried.
Motion to adjourn was made by Janice Herzog, seconded by Susan Stanczyk at 8:40 AM.
