Onondaga County Industrial Development Agency Governance Committee Meeting Minutes August 2, 2017 The Governance Committee meeting of the Onondaga County Industrial Development Agency was held on Wednesday, August 2, 2017 at the 333 West Washington Street, Syracuse, New York in the large conference room on the first floor.

Janice Herzog called the meeting to order at 8:00 am with the following:

Julie Cerio, OCIDA, Executive Director Isabelle Harris, Secretary Nate Stevens, Treasurer Karen Doster, Recording Secretary, Agency Brian Bartlett, Office of Economic Development Tony Rivizzigno, Gilberti Law Firm Steve Morgan, OCIDA Board Member Kevin McAuliffe, Barclay Damon Michael Wetzel, Air Innovations, Inc.

Jeff Murray, Carpenter’s Union APPROVAL OF GOVERNANCE COMMITTEE MEETING MINUTES — DECEMBER 12

2016

Upon a motion by Patrick Hogan, seconded by Janice Herzog, the OCIDA Board approved the regular meeting minutes of December 12, 2016. Motion was carried.

UNIFORM TAX EXEMPTION POLICY

Janice Herzog stated staff said there were no changes.

Upon a motion by Patrick Hogan, seconded by Janice Herzog, the OCIDA Governance Committee approved a resolution recommending to the full Board adoption of the UTEP with no changes. Motion was carried.

PROCUREMENT POLICY

Nate Stevens stated a procurement officer needs to be elected per the new Comptroller’s ABO guide lines.

Upon a motion by Patrick Hogan, seconded by Janice Herzog, the OCIDA Governance Committee approved a resolution recommending to the full Board adoption of the Procurement Policy with election of a procurement officer per Comptroller’s new ABO guide lines. Motion was carried.

BY-LAWS

Upon a motion by Patrick Hogan, seconded by Janice Herzog, the OCIDA Governance Committee approved a resolution recommending to the full Board adoption of the By-Laws with no changes. Motion was carried.

STRUCTURE AND MAKE-UP OF BOARD COMMITTEES

Upon a motion by Patrick Hogan, seconded by Janice Herzog, the OCIDA Governance Committee approved a resolution recommending to the full Board to continue with the three standing committees (Governance, Audit and Finance) and Fanny Villarreal being substituted for Janice Herzog on the Governance Committee Board: Motion was carried. Upon a motion by Patrick Hogan, seconded by Janice Herzog, the OCIDA Board adjourned the meeting at 8:03 am. Motion was carried.
