Onondaga County Industrial Development Agency Organizational Meeting Minutes January 12, 2021 An organizational meeting of the Onondaga County Industrial Development Agency was held on Tuesday, January 12, 2021 via Zoom Teleconference.

Patrick Hogan called the meeting to order at 8:03 am with the following:

Robert M. Petrovich, Executive Director Nancy Lowery, Secretary Nate Stevens, Treasurer Karen Doster, Recording Secretary, Agency Carolyn Evans-Dean, Onondaga County Economic Development Amanda Fitzgerald, Barclay Damon Law Firm Jeff Davis, Barclay Damon Law Firm (Patrick Hogan shared information as to how the meeting will be conducted in light of COVID- 19 at the start of the Organizational Committee Meeting.) SLATE OF OFFICERS AND CHAIRS FOR THE 2021 AGENCY FISCAL YEAR

Upon a motion by Fanny Villarreal, seconded by Kevin Ryan, the OCIDA Board approved a resolution approving the slate of officers for the 2021 Agency Fiscal Year to include Chair- Patrick Hogan, Vice Chair-Janice Herzog, Executive Director - Robert M. Petrovich, Secretary - Nancy Lowery, Treasurer - Nate Stevens, Recording Secretary - Karen Doster, Assistant Treasurer - Christopher Cox, Freedom of Information Act Officer — Robert M. Petrovich, Freedom of Information Appeals Officer-Patrick Hogan, State Finance Law Contract (Procurement) Officer — Robert M. Petrovich. Motion was carried.

Upon a motion by Fanny Villarreal, seconded by Kevin Ryan, the OCIDA Board approved a resolution approving the slate of officers for the 2021 Agency Fiscal Year to include Chair- Patrick Hogan, Vice Chair-Janice Herzog, Executive Director - Robert M. Petrovich, Secretary - Nancy Lowery, Treasurer - Nate Stevens, Recording Secretary - Karen Doster, Assistant Treasurer - Christopher Cox, Freedom of Information Act Officer — Robert M. Petrovich, Freedom of Information Appeals Officer-Patrick Hogan, State Finance Law Contract (Procurement) Officer — Robert M. Petrovich. Motion was carried.

Nancy Lowery stated at the last meeting the Board approved the applicants that submitted on the RFP. She stated this meeting we are putting forth who would be lead counsel and conflict counsel.

Robert Petrovich stated this is consistent with past practice and it is a reappointment. Upon a motion by Janice Herzog, seconded by Kevin Ryan, the OCIDA Board approved a resolution reappointing Barclay Damon, LLP as its Agency Counsel and appointing Bond Schoeneck & King, PLLC; Hancock & Estabrook, Harris Beach, PLLC; Nixon Peabody, LLP; Trespasz & Marquardt, LLP as conflict counsel. Motion was carried.

She stated the recommendation is to reappoint Grossman St. Amour as auditor and Bonadio & CO., LLP as Special Auditor. Motion was carried.

Upon a motion by Fanny Villarreal, seconded by Janice Herzog, the OCIDA Board approved a resolution reappointing Grossman St. Amour as its Agency Auditor and appointing Bonadio & Co., LLP as special auditor. Motion was carried.

Upon a motion by Kevin Ryan, seconded by Fanny Villarreal, the OCIDA Board adjourned the meeting at 8:09 am. Motion was carried.
